Two (2) Eligible Entrants will be chosen randomly at Sponsor's location within two (2) weeks following the end of the Giveaway Period to win the Grand Prize. Covered With Carhartt Giveaway (the “Giveaway”).

NO PURCHASE NECESSARY. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.

Entry into this Giveaway constitutes your acceptance of these Official Rules.

1. Eligibility:
The Covered With Carhartt Giveaway (the “Giveaway”) is open only to legal residents of the fifty (50) United States, the District of Columbia, or Canada, who are at least nineteen (19) years old at the time of entry (the “Eligible Entrant” or “Entrant”). Employees of Carhartt, Inc., as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee are not eligible. Limit one entry per person per “Prize Period” (as defined below) during the “Giveaway Period” (as defined below). Mass-produced entries, facsimiles, and/or photocopies or other mechanically or electronically reproduced entries or robotic entries are void and, if discovered, will be disqualified. Subject to all applicable federal, state, provincial and local laws and regulations. Void where prohibited or restricted by law. Sponsor’s decisions are final and binding in all matters related to the Giveaway. Any right to receive a prize is contingent upon fulfilling all requirements and conditions of these Official Rules.

2. Sponsor:
Carhartt, Inc. P.O. Box 600, Dearborn, Michigan 48121 (“Sponsor” or “Carhartt”).

3. Timing:
The Giveaway begins on October 18, 2010 at 12:00 a.m. ET and ends on December 19, 2010 at 11:59 p.m. ET (the “Giveaway Period”). There will be nine (9) “Prize Periods” during the Giveaway Period, the first beginning on Monday, October 18, 2010 at 12:00 a.m. ET and ending at 11:59 p.m. ET on Sunday, October 24, 2010, and the subsequent eight beginning at 12:00 a.m. ET of each of the following Mondays during the Giveaway Period and ending at 11:59 p.m. ET of the succeeding Sunday during the Giveaway Period as outlined below. Entrants will be chosen randomly at Sponsor's location within two weeks following (a) the end of the applicable Prize Period for the T-Shirt Prize and (b) the Giveaway Period for the Grand Prize.

Entries must be received during the applicable Prize Period in order to be included in the drawing for that Prize Period and during the Giveaway Period to be included in the drawing for the Grand Prize.

4. How to Enter:
During the Giveaway Period, visit the stories section of getchartt.com for the “The Covered With Carhartt Giveaway” at http://www.getcarhartt.com/stories. Enter the Giveaway by submitting a Carhartt story. You will be able to select an associated photo on the site or you may upload your own. Complete the required personal details on the entry form to be entered to win. Attempts made by the same individual to submit entries in excess of one per Prize Period, whether by using multiple e-mail addresses or otherwise, are prohibited and will be disqualified if detected. Use of automated systems to enter is prohibited. In the event of a dispute over the identity of an online Entrant, entry will be deemed submitted by the authorized account holder of the e-mail address associated with the entry. Authorized account holder is defined as the person assigned to an e-mail address by an Internet access provider, on-line service provider or other organization responsible for assigning e-mail addresses. Only entries submitted online will be accepted.

5. Drawings:
On the Draw Date following the end of each Prize Period week during the Giveaway Period, Sponsor, at its location, will randomly select from all eligible entries received during such Prize Period seven (7) potential winners for the t-shirt prize (the “T-Shirt Prize”). Sponsor, at its location, will randomly select from all eligible entries received during the Giveaway Period (2) potential winners of the Grand Prize. Within 14 days following the end of the applicable Prize Period (for the T-Shirt Prize) or the end of the Giveaway Period (for the Grand Prize), each of the potential winners will be notified by email at the address specified in his/her entry. Potential winners in the United States and the District of Colombia must acknowledge receipt of such notification by return email within 7 days of notification in order to become a winner. If Sponsor is unsuccessful in contacting a potential winner, or if a potential winner fails to acknowledge receipt of the notification, within the required time period, potential winner forfeits prize. If a potential winner is a Canadian Resident, he/she will be required to acknowledge receipt of the e-mail notification by return email within 7 days and correctly answer a mathematical skill-testing question to become a winner. All potential winners must continue to comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements. In the event that a potential winner is disqualified for any reason, Sponsor will award the applicable prize to an alternate winner by random drawing from among all remaining eligible entries from the applicable Prize Period or Giveaway Period as applicable. Sponsor reserves the right to conduct as many subsequent drawings as necessary but none after December 31, 2010. Sponsor is not responsible for any prize items that are lost or damaged during packaging, shipping or delivery and no such prize items will be replaced in any manner including providing the cash value of such prize items.

6. Prizes:
During each Prize Period week of the Giveaway Period, seven (7) Carhartt t-shirts (Style #K528, each with a manufacturer's suggested retail value of approximately $20.00 USD) will be awarded. Two (2) Carhartt.com Promo codes worth $500.00 USD each will be awarded at the end of the Giveaway Period. There will be a total of 63 t-shirts and 2 Grand Prizes during the Giveaway. All T-Shirt prizes will be fulfilled after the applicable Prize Period has ended. All Grand prizes will be fulfilled after the Giveaway Period has ended. No part of the prizes can be changed and will not be replaced if lost. Sponsor, in its sole discretion, may substitute cash or a different prize of approximately equivalent retail value. Prize Winners are solely responsible for all federal, state, provincial and local taxes on prizes.

7. Odds of Winning:
Odds of winning a prize depend on the number of eligible entries received during each Prize Period (for the T-Shirt Prize) and during the Giveaway Period (for the Grand Prize).

8. Release:
Entrant represents and warrants that the story, any photo supplied by Entrant, and any information supplied by Entrant (including personally identifiable information) (collectively the “Content”) in fact is the intellectual property of or otherwise owned by Entrant, that any photo submitted by Entrant is a photo of Entrant, that Entrant is authorized to provide to Sponsor such Content and that use of the Content by Entrant or by Sponsor in the Giveaway or for promotional purposes will not violate the rights of Entrant or any third party. Should Sponsor desire to use, reproduce, display or modify the story supplied by an Entrant, Sponsor shall contact Entrant using the contact information submitted by Entrant to obtain any permissions if necessary. By participating in the Giveaway, Entrants agree to release, indemnify and hold harmless Sponsor, and its officers, directors, employees and agents (collectively, the “Released Parties”) from any and all liability for any injuries, loss, or damage of any kind arising from or in connection with this Giveaway or any prize won or Entrant's violation of these rules or the representations and warranties herein.

9. Publicity:
Participation in the Giveaway constitutes winner’s consent to Sponsor’s use of the Content, winner’s name, likeness, or photograph for any Giveaway purposes that Sponsor chooses without notice or further consideration to the winner, except where prohibited by law.

10. General Terms:
Sponsor, as it may determine in its sole discretion, subject to the approval of the Régie in Quebec for Quebec residents, reserves the right to cancel, suspend and/or modify the Giveaway, or any part of it, if any fraud, or other factor beyond Sponsor’s reasonable control impairs the integrity or proper administration of the Giveaway. Sponsor reserves the right, in its sole discretion, to disqualify any individual determined to be in violation of these Official Rules or determined to have acted in an otherwise disruptive or dishonest manner. Any attempt by any person to undermine the legitimate operation of the Giveaway may be a violation of criminal and civil law, and Sponsor reserves the right to seek damages from any such person as permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

11. Limitations of Liability:
The Released Parties are not responsible for: (1) late, misdirected, lost, undeliverable, illegible, damaged, or stolen entry ballots or email; (2) incorrect or inaccurate information, whether caused by an entrant, printing errors or by any of the equipment utilized in the Giveaway; (3) unauthorized intervention or tampering in any part of the Giveaway; (4) human error which may occur in the administration of the Giveaway; or (5) lost, stolen, delayed, damaged or misdirected entries or for any failure of the website during the Giveaway period, for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, access providers, computer equipment, software, failure of any e-mail or entry to be received by Sponsor on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof including any injury or damage to an entrant’s or any other person’s computer related to or resulting from playing or downloading any material in the Giveaway; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Giveaway or receipt or use or misuse of any prize. If necessary to correct any irregularities, errors, or other problems with the Giveaway, Sponsor, in its sole discretion, subject to the approval of the Régie in Quebec, may elect to hold a random drawing from among all eligible entries received during the Giveaway Period for any or all of the prizes offered herein. Under no circumstances will more than the stated number of prizes will be awarded. In the event that more than the stated number of prizes as set forth in these Official Rules are available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, un-awarded, eligible prize claims.

12. Arbitration and Choice of Law:
Except where prohibited by law, as a condition of participating in this Giveaway, entrant agrees that (1) any and all disputes and causes of action arising out of or connected with this Giveaway, or any prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held at the AAA regional office nearest Dearborn, Michigan; (2) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (3) judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys’ fees, other than Entrant’s actual out-of-pocket expenses (i.e., costs associated with entering this Giveaway), and Entrant further waives all rights to have damages multiplied or increased. All issues and question concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of Entrants and Sponsor in connection with this Giveaway, shall be governed by, and construed in accordance with, the substantive laws of the State of Michigan, USA, without regard to Michigan choice of law provisions. For residents of Quebec, any litigation concerning the conduct or administration of this publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation concerning the awarding of a prize may be submitted to the Régie only for the purpose of helping the parties reach a settlement.

13. Personally Identifying Information:
Information submitted to Sponsor by any entrant is subject to Sponsor’s Privacy Policy located at Carhartt’s North American website at www.carhartt.com. By entering the Giveaway, Entrants hereby agree to Sponsor’s collection and usage of their personally identifying information for all purposes consistent with Sponsor's Privacy Policies and acknowledge that they have read and accepted Sponsor’s Privacy Policies.

14. Winner List:
For a list of winners and/or a copy of these Official Rules, send a hand-printed, self-addressed, stamped envelope to “Covered With Carhartt Giveaway”, c/o Carhartt, Inc.
